Mining Capital's Alastair Ford tells Proactive that the merger between FTSE 100 miner Randgold Resources (LON:RRS) and Canadian firm Barrick Gold Corp (NYSE:ABX) has taken the market by surprise but is "on the whole broadly positive". Ford says that the deal will generate significant cost savings for both groups, as well as bolstering each other's geographical spread. However, Ford adds that the merger will open a void in the London market, with speculation around who will fill the gap left by Randgold.

Private security personnel employed by the world's largest gold mining company, Barrick Gold, have been implicated in alleged gang rapes and other violent abuses in Papua New Guinea. Barrick maintains a private security force of nearly 450 personnel at Porgera. The mine must cope with extraordinary security challenges, including violent raids by groups of illegal miners. But Human Rights Watch's research documents a pattern of opportunistic, violent abuses that are in no way a reaction to these threats. Every day, hundreds of people try to eke out a living by scouring the waste rock dumps around the mine for minute traces of gold. In contrast to the violent raids the mine confronts on a regular basis, these miners are for the most part engaged in an entirely nonviolent—albeit illegal—routine.

Controversy surrounding Barrick Gold's Pascua Lama mine in Chile

"Mirage of El Dorado" leads us into the mountains of northern Chile, where the devastating operations of Canadian mining companies threaten a fragile ecosystem in one of the driest parts of the globe. APRIL 25 - In northern Chile, Environmental groups and indigenous Diaguita communities are celebrating an April 10th court decision to suspend construction of the controversial Pascua Lama mine owned by the world's largest gold mining company, Barrick gold. The court suspension was in response to a legal action that was brought forward by affected indigenous communities who have long maintained that the mining project threatens to severely deplete their water supply and pollute sensitive glaciers near the site where the mine is located. Pascua Lama is in close proximity to three Andean glaciers which are vital water sources for the Huasco Valley, located in Chile's Atacama desert region. Any impact on the glaciers, even from simple dust emissions, would have a devastating effect on the water supply and indeed, the entire ecosystem. In addition, the mining project would release cyanide, sulfuric acid and mercury into the valley's rivers, a problem that the company tried to get around by offering farmers "social assistance" and promises of infrastructure. To the surprise of absolutely no one, Barrick quickly bounced back with an appeal to reverse the court ordered suspension ; however, a Chilean appeals court on April 23rd rejected the appeal. It now looks like Barrick will be forced to walk away from the project. It's welcomed news, to say the least. As the award-winning documentary film "Mirage of El Dorado" shows, the Pascua Lama project has been mired in controversy ever since the infamous mining company started making its move in the 1990s. El Indio in Chile was one of the most productive mines in the world, producing gold, silver and copper until its closure in 2002. Barrick Gold's groundbreaking investment in the closure of the mine in Chile was considered a landmark in the history of mining in that country and remains an example of reclamation best practice. Barrick voluntarily developed a $55 million mine closure plan with the help of a technical committee consisting of environmental authorities, health officials and community representatives. El Indio's mill and roaster buildings were successfully removed; 21,000 tonnes of material were shipped for recycling; water courses were restored; and affected soil and areas were cleaned, covered and graded.

This short film tells in stark detail the stories of some of the victims at the North Mara Gold Mine in Tanzania operated by UK listed company, Acacia Mining. The mine has been plagued by human rights problems. Barrick Gold Corporation, is the majority shareholder of Acacia Mining, holding 63 per cent. Since 2014, at least 22 people have been killed and 69 injured, many by bullet wounds, at or near the remote mine in security related incidents, according to research conducted by RAID and MiningWatch Canada (MWC). Nine women and girls have been raped. A Tanzanian parliamentary inquiry set up to look into the problem in 2016, received 65 reports of killings and 270 people injured by police responsible for mine security. Tanzanian opposition and human rights monitors believe the number is higher, estimating 300 mine related deaths since 1999.

Three miles south of downtown Goldfield. Is where we have a claim of an unpatented mine. Where we only own the mineral rights. Also we have a patented mine which we own. The Congress Mine was first dug in 1897, and worked until 1927. Then worked again in the 50's. The first train loads of ore from the Congress Mine yielded 609 ounces of gold per ton of ore. Almost triple that in silver, and copper. In the late 50's when the mine was last worked it was yielding 15 ounces of gold per ton. All the land around the Congress Mine is owned by the largest mining companies in the world. Companies like Barrick Gold, Kinross, and Newmont Gold all corner my land, and mine. The Congress has a main shaft over 400 feet deep with many drifts at different levels. It was producing so much silver, and gold that they built a stamp mill, and a smelting plant just down the road. I was very fortunate to get this mine, and know that one of those companies are going to call one day. This is definitely a road that very few people in the 20th century have ever traveled. Mr. Thornton, a former president of Goldman Sachs, will remain as executive chairman. Graham Shuttleworth, Randgold’s current chief financial officer, takes the CFO role at the combined company with Barrick’s current CFO Catherine Raw becoming chief operating officer North America. “The combination of Barrick and Randgold will create a new champion for value creation in the gold mining industry, bringing together the world’s largest collection of tier one assets, Under the merger terms, each Randgold shareholder will receive 6.128 new Barrick shares for each Randgold share. The merger would see Barrick shareholders own 66.6 per cent of the enlarged company; Randgold shareholders would own the rest. The deal is expected to close in early 2019. Mr. Thornton has praised Randgold and Mr. Bristow. Randgold’s returns on capital are routinely the highest, or close to them, in the gold sector. “Our industry has been criticized for its short-term focus, undisciplined growth and poor returns on invested capital,” Mr. Bristow said, in a statement. “The merged company will be very different. Its goal will be to deliver sector leading returns.” Unlike Barrick Gold, which has taken billions in write-downs over the years , Randgold has never “written down a penny,” Mr. Thornton said in a conference call with analysts on Monday. Another big advantage of the acquisition for Barrick shareholders according to Mr. Thornton is it is buying a competitor with a proven ability to operate in one of the most challenging jurisdictions in the world. i.e. Africa. Barrick’s subsidiary Acacia Mining PLC, which operates in Africa is currently subject to a gold export ban in Tanzania. Last year, the Tanzanian government accused Acacia of US$200-billion in tax fraud. The combined company will have five tier-one mines, three from Barrick and two from Randgold. Barrick defines a tier 1 mine as one that produces 500,000 ounces of gold a year, has a life of more than 10 years and is low cost. Randgold owns mines in Mali, Ivory Coast, Senegal and the Democratic Republic of Congo. The deal means Barrick likely won’t lose its spot as the world’s biggest gold producer after all. Last year, after Barrick’s production fell to to 5.3 million ounces of gold and the company predicted up to 5 million ounces for this year, it looked like Newmont Mining Corp., which forecast it will produce as much as 5.4 million ounces for 2018 would soon surpass Barrick. By swallowing Randgold, Barrick gains about 1.3 million extra ounces a year in production, which would put it comfortably ahead of its U.S. competitor. In an interview with The Globe and Mail in London earlier this month, Mr. Thornton said he had thrown out the traditional “chasing ounces” growth model in the industry and would focus on free cash flow – the money left over after capital expenditures and operating costs are paid. As CEO, Mr. Bristow will be responsible for the day to day operations of running Barrick. Executive chair Mr. Thornton will work with the board of directors and also continue to work on relationship building with countries like China and deal with geopolitical matters. Both Mr. Bristow and Mr. Thornton will jointly make decisions on large strategic and macro matters. One analyst asked Mr. Bristow whether there is risk for Randgold, which is known for its nimble, decentralized business model, in combining with the much bigger Barrick. “Our intention is to implement the Randgold way,” said Mr. Bristow, which he explained is a flat management structure, with an emphasis on efficiency and the ability to make quick decisions. “John [Thornton] has done a lot of work in cleaning up the baggage,” he added. “There is no culture clash amongst the senior executives between Randgold and Barrick.” Under the terms of the deal, Randgold will cease to trade on the London Stock Exchange. The new combined company will trade on the New York and Toronto stock exchanges. Barrick Gold CEO Jamie Sokalsky gets called out at Toronto mining convention

Once a year, the Prospectors and Developers Association of Canada (PDAC) throws the world's largest mining convention in downtown Toronto. This year, the convention featured a track on Corporate Social Responsibility (CSR) that was open to the public. The final session of this track was a CEO panel featuring Jamie Sokalsky, the CEO of Barrick Gold. While Sokalsky tried to present Barrick's CSR program as more than just window dressing, I got ahold of the mic to draw attention to the very real and on-going human rights abuses at two of Barrick's mine sites, first in North Mara, Tanzania and then in Porgera, Papua New Guinea. Unfazed by the fact that they turned off my mic, I raised my voice to speak louder about the scale of the devastation in Papua New Guinea. Finally, the security escorted me out as I handed out footnoted fact sheets to the audience at the forum. Barrick's entire board and shareholders will gather this April 24 in Downtown Toronto's Metro Convention Centre's John Basset Theatre at 10am. Barrick Gold trades on the Toronto Stock Exchange under the symbol ABX (TSX:ABX), and also on the New York Stock Exchange under the symbol ABX (NYSE:ABX). Transcript: Many gold producers use machinery called an autoclave... and when you're the world's largest gold producer, regular autoclaves just don't cut it. Mining giant Barrick Gold recently shipped four of the world's biggest autoclaves almost halfway around the world to their Pueblo Viejo mine in the Dominican Republic. They say it was worth it. Barrick is the gold industry leader in terms of production, reserves, and market capitalization. The company operates globally, with a portfolio of 27 operating mines and advanced exploration and development projects located across the world. One of their joint venture projects, the Pueblo Viejo mine, has started producing gold using the first two of four, newly installed, gigantic autoclaves. Transporting the 780 tonne cylinders from the fabrication site in Malaysia to the mine's mountain location in the Dominican Republic was branded 'the logistics challenge of the decade.' Special heavy-haul trailers, each one having 22 rows of axles with 12 tires per row were used to manoeuvre through local villages on its 18 day, cross country journey. Thanks to these new giants, gold is now being produced from the mine, which has contributed to Barrick Gold retaining their listing on the Dow Jones Sustainability World Index for the fifth consecutive year.
