How To Use Debt to Get Rich - How The 1% Use Debt: You have probably heard of the saying 'there is good debt and then there is bad debt'. First, In this video we are going to compare good debt and bad debt. I will also explain why MOST people should consider all debt, bad debt (like Dave Ramsey). However, this video is mainly about using debt in a good way. How is this possible? Rich people use debt to generate INCOME PRODUCING ASSETS. Whether that is a business, investment, real estate, etc. Whenever rich people borrow money, they use it to create MORE MONEY than they borrowed. For example, an average person may borrow 40k to spend on a car. A rich person will borrow 40k to market a product which will make 60k in revenue, therefore a 20k profit. Borrowing money to 'get ahead' in the investing/business world is a fundamental strategy the ALL fortune 500 companies use. Coincidence? Nope. Debt is a necessity to get to the top income level on the planet. There are also a ton of great advantages for borrowing money. Like the massive tax deductions you get for the interest on the loan, the depreciation you get for the investment you bought, and all other business expenses that are related tot he investment/loan. This on its own can lower significantly reduce your taxable income. For example, there are real estate investors out there that make millions of dollars per year, but dont pay taxes at all because of all the deductions (crazy right?). If you're starting your first company, understanding stock, preferred stock, options, convertible notes and other fundraising instruments can be truly overwhelming. We didn't find a single video that covered this, so here we go. If you are an early-stage startup company in the tech space, the best way to raise capital is with a convertible note or a similar instrument. However, to understand how those work, we first need to understand how stock works. STOCK You are probably familiar with the term 'stock.' A company is divided into chunks, and each shareholder owns a certain percentage of the company, which gives control of company decisions, and a share of the profits. A PRICED ROUND: RAISING MONEY FOR STOCK The 'traditional' approach towards raising capital is with a priced round. Tech companies are different. Tech companies have tremendous scale potential and often fantastic margins. A software product or an app, for example, can realistically operate with 80%+ margins, and serve millions of customers around the world, with a minimal staff. Think of Uber, who raised $500,000 on their first round, and are now worth, well, billions of dollars. So the value of a startup is not related directly to their revenue, but to their potential. Some variables to take into account here are: - The market size, how many customers are there in the world. - The technology variable, is there a unique piece of tech that nobody else has, or that optimizes a process drastically? - Potential margins, how many employees are needed to serve 100,000 customers or 1,000,000 customers? When Instagram had 300 million users, their staff was 13 people. However, all these numbers are variables and theories, and nobody knows for sure. The valuation of a startup is defined by how much potential an investor sees in the business, how risky it is, and how much upside do they want in exchange for risking their money, just like a bet. These days, a reasonable number for a tech company like our theoretical FounderHub would be a $4,000,000 (pre-money) valuation. Again, assuming this is a high scale, high margin business. All of these decisions require negotiations, and lawyers, and signatures to be put in writing, and they can make the process take six months or more from 'agreeing to invest.' Since most early companies don't have six months, they often choose to go with a Convertible Note. A convertible note is like a loan, but instead of using an asset like a house for collateral, the company stock is the collateral. This means, obviously, that the investor also needs to believe in the business to invest, because the note intends to convert into stock. Like I said before, defining a company valuation is tough. Too many variables, too little data... so with a convertible note, the investor is saying: I'll give you the money for you to grow now. In a year or so we should have the data to support a priced, traditional round, so my investment will convert then, with the valuation and terms that the new investors define. So a convertible note is an investment that triggers, - Ideally, on a new round of funding. - Also ideally, if the company is acquired. - At a predefined deadline, often 18 or 24 months after the original investment. At this point, investors can negotiate a note extension, they can convert it at the Cap, or they can request a payback, again, if the company can afford it. Now, YCombinator and 500 Startups have both designed documents inspired by convertible notes, but simpler. And free. The KISS-A (Keep it simple security) and the SAFE (simple agreement for future equity) are simplified convertible note templates that you can use to raise money and skip lawyer fees. A lot of people think, ‘I went to business school and business school says before you start a business you need to have a business plan because you’re going to invest a certain amount of money and you need to see how long it’s going to take before you get that money back.’ Joe: I understand that. I understand having a plan for going forward and doing things, but what you could do is you could emulate a plan that we know works. I have a plan, the “For Rent Method”, that works very well, and we have other things that we do as well, but the “For Rent Method” is a great one to get started with. It’s very easy, it doesn’t require cash and it doesn’t require any credit, so the first time you make money on it, you get an instant return on your business and you can start living on that almost immediately. Joe: It does cost you some money to learn how to do it and go through that process, although I give away so much free information on this blog that you can probably get all of this information for free. Or, you can buy my book on Amazon, “Automated Real Estate Investing” for $2.99 - just type in Joe Crump and you’ll see a couple of books. One of them is a green cover and one’s a red cover – buy the one with the red cover because that’s about automated real estate investing, so it’s very cheap to get going and it is a business plan in itself. It shows you what you need to do, i.e. step one, step two, step three, etc. – it teaches you step by step what needs to be done. Joe: I had a fellow come to me and say, ‘Joe, I need to create a business plan so that I can give this to my dad so that he’ll give me enough money to afford your business program.’ And I told him the same thing. I said, ‘We don’t really create business plans. It’s not really necessary. You don’t know where your business is going, so whatever you write down in your business plan…’ – I’ve talked to so many startup people, whether they’re in software, real estate or whatever business they have going that’s not a franchise (because franchises already have a step by step in place and don’t require business plans) and if you don’t have anything in place to start with, what you do is start taking action on things that seem reasonable to make money or you use a system like mine which is similar to a franchise where you already know what you need to do, and then you can grow from there. Joe: If you want to go off and do wholesaling deals, you can do that. If you want to do rehab deals, you can do that. I do all of those things as well. I have some students that do short sales, real estate agents especially, and they do them, which I find to be a pain in the butt, but I can see how they can be valuable. Joe: There have been times when I’ve built and done new construction that made sense. Most of the time right now, I don’t see that as making a lot of sense – the loan market is very tight, so I try to do things that don’t require any loans or any conventional lending or hard money or private investors, and if you can set up deals that do that, it’s going to be a lot easier for you to build a business and if you use a step by step plan that somebody else has already created, that’s also going to make it a lot easier. IT Pan No. is to be indicated in respect of credit facility above Rs.10 lakh. Nevertheless, the MLIs have been advised to inform their borrowers to apply for IT PAN number. It is desirable to indicate IT Pan No. in all the application irrespective of the amount. 5. Is guarantee benefit available to existing units of a lending institution which has become a MLI of CGTMSE? In case of existing units, additional credit facilities in the form of term loan or renewal of working capital facilities can be covered as and when the facilities are extended, provided no collateral security and/ or third party guarantee is obtained. Part of the credit facility with collateral and part of the facility without collateral for guarantee cover would not be entertained if it is considered as a composite credit. 6. Is it necessary that a borrower to be eligible should obtain all the required credit facilities from a single institution? Credit facilities can be extended by more than one bank and/or financial institution jointly and/or separately to eligible borrower upto a maximum upto Rs.100 lakh per borrower subject to ceiling amount of individual MLI or such amount as may be specified by the Trust. 7.Co-financing to a MSE unit by Financial Institution with a Commercial Bank can be covered under the Scheme? Yes, joint financing by a financial institution (e.g. SIDBI,NSIC, NEDFi) and Commercial bank can be covered under the scheme. For e.g. MSE unit is financed by term loan from State financial institution and Working capital from a commercial bank.

The Department of Energy is about to guarantee $8.3 Billion of loans to the Southern Company and its partners to build two new nuclear reactors in Georgia. That is 15 times the size of the loan guarantee to Solyndra, the solar energy company that failed last year. How bad an investment is this nuclear loan guarantee? Nuclear reactors are so bad an investment that Wall Street won't touch them. Moody's has called them "bet-the-farm-investments." Moody's has downgraded the financial ratings of the utilities that are planning to build them. Citibank says that "Three of the risks faced by developers —Construction, Power Price, and Operational — are so large and variable that individually they could each bring even the largest utility company to its knees financially." Even nuclear industry executives call new reactors "a large speculation" and say that they "are not economic" because of low gas prices, excess generating capacity and low growth in demand. Two of these executives have admitted that "We can't make the numbers work." The Economist magazine declared in its March 10th issue that nuclear power is "the dream that failed"--the plants are too costly and uncompetitive with alternatives. Wind, solar and energy efficiency are all better investments, and their costs have been falling for years. So, why are we wasting $8.3 billion on corporate welfare to an industry that, for five continuous decades, has not been able to operate without large government subsidies?

Rather than making phone calls or personal visits to solicit clients, Weill found he was far more comfortable sitting at his desk, poring through companies' financial statements and disclosures made to the U.S. Securities and Exchange Commission. For weeks his only client was his mother, Etta, until Joan persuaded an ex-boyfriend to open a brokerage account. While working at Bear Stearns, Weill was a neighbor of Arthur L. Carter who was working at Lehman Brothers. Together with Roger Berlind and Peter Potoma they would form Carter, Berlind, Potoma & Weill in May 1960. In 1962 the firm became Carter, Berlind & Weill after the New York Stock Exchange brought disciplinary proceedings against Potoma. In 1968, with the departure of Arthur Carter, the firm was renamed Cogan, Berlind, Weill & Levitt (Marshall Cogan, Arthur Levitt), or CBWL jokingly referred to on Wall Street as "Corned Beef With Lettuce". Weill served as the firm's Chairman from 1965 to 1984, a period in which it completed over 15 acquisitions to become the country's second largest securities brokerage firm. The company became CBWL-Hayden, Stone, Inc. in 1970; Hayden Stone, Inc. in 1972; Shearson Hayden Stone in 1974, when it merged with Shearson Hammill & Co.; and Shearson Loeb Rhoades in 1979, when it merged with Loeb, Rhoades, Hornblower & Co. With capital totaling $250 million, Shearson Loeb Rhoades trailed only Merrill Lynch as the securities brokerage industry's largest firm. In 1981, Weill sold Shearson Loeb Rhoades to American Express for about $930 million in stock. (Sources differ on the precise figure.) In 1982, he founded the National Academy Foundation with the Academy of Finance to educate students that would graduate from High School. Weill began serving as president of American Express Co. in 1983 and as chairman and CEO of American Express's insurance subsidiary, Fireman's Fund Insurance Company, in 1984. Weill was succeeded by his protégé, Peter A. Cohen, who became the youngest head of a Wall Street firm. While at American Express, Weill began grooming his newest protégé, Jamie Dimon, the future CEO of JPMorgan Chase. Increasing tensions between Weill and the chairman of American Express, James D. Robinson III, led Weill to resign in August 1985 at age 52. After a failed attempt to become the CEO of BankAmerica Corp. In 1986, with $7 million of his own money invested in the company, Weill took over as CEO of Commercial Credit. After a round of deep layoffs and reorganization, the company completed a successful IPO. In 1987, he acquired Gulf Insurance. The next year, he paid $1.5 billion for Primerica, the parent company of Smith Barney and the A. L. Williams insurance company. In 1989 he acquired Drexel Burnham Lambert's retail brokerage outlets. In 1992, he paid $722 million to buy a 27 percent share of Travelers Insurance, which had gotten into trouble because of bad real estate investments. In 1993 he reacquired his old Shearson brokerage (now Shearson Lehman) from American Express for $1.2 billion. By the end of the year, he had completely taken over Travelers Corp in a $4 billion stock deal and officially began calling his corporation Travelers Group Inc. In 1996 he added to his holdings, at a cost of $4 billion, the property and casualty operations of Aetna Life & Casualty. In September 1997 Weill acquired Salomon Inc., the parent company of Salomon Brothers Inc. for over $9 billion in stock. In April 1998, Travelers Group announced an agreement to undertake the $76 billion merger between Travelers and Citicorp, and the merger was completed on October 8, 1998.
